Brian D. Alprin counsels financial institutions on structural and regulatory issues, with emphasis on antitrust counseling, mergers and acquisitions, relations with federal and state supervisors, organizational restructurings and new product development. He has advised banking companies, trade groups, and state and foreign governments on the modernization of banking legislation and policy.
At the Federal Deposit Insurance Corporation for five years where he was cited for special achievement, Mr. Alprin helped to develop federal policy on bank affiliations and crafted assistance strategies for failing institutions.
Admitted to practice in the District of Columbia and Rhode Island, he is a member of the Corporation, Banking and Business Law and Antitrust Law sections of the American Bar Association and The District of Columbia Bar Association.
A former judicial clerk to the Honorable Joseph R. Weisberger of the Rhode Island Supreme Court, he is a 1979 graduate of The National Law Center of The George Washington University and a graduate of Yale University.
Representative Matters
- Led the legal team that negotiated and accomplished over 50 bank acquisitions and over 20 nonbank acquisitions by banking organizations
- Handled the legal and regulatory aspects of over 15 acquisitions or transactions by which banking organizations entered new states or non-U.S. jurisdictions
- Achieved client objectives without coerced divestitures in over 40 horizontal mergers that exceeded governmental standards for concentration or increases in concentration
- Significant cases include United States v. National Bank & Trust Company of Norwich; Acquisition by Bancorp Hawaii, Inc. of Hawaiian Trust Company, Ltd.; acquisition by Bank of Hawaii of American Financial Services, Inc.; Sale of National Bancorp of Alaska, Inc. to Wells Fargo & Company
