Jeffrey S. Henderson is a partner in the Duane Morris Corporate Practice Group. His practice encompasses a broad range of general corporate counseling, including mergers and acquisitions, commercial loan transactions and emerging business.

Mr. Henderson is a member of the firm's Private Equity and Venture Capital Group, as well as the firm's Dealer Services Group, representing automobile and truck dealers in a wide range of corporate legal matters, including contract negotiations, financing and loan transactions, dealership sales and acquisitions, succession issues, and regulatory and compliance matters.

Mr. Henderson is a 1988 graduate of Villanova University School of Law and a graduate of Princeton University (A.B. 1980).

• Represents a wide range of for-profit and not-for profit entities on transactions and general corporate matters.

Representative Matters

• Represented investor in Series A private equity transaction.
• Negotiates the purchase and sale of healthcare businesses, facilities and programs including dialysis facilities and nursing home facilities.
• He has been involved in independent provider-hospital and third party affiliations and ventures in area of dialysis services, and provided analysis of tax issues concerning for profit and tax exempt organizations, including the impact of mergers, acquisitions and joint ventures upon these organizations.
• Represents commercial lenders in structuring and negotiating commercial loan transactions, including syndicated loan transactions.
• Represents a wide range of for-profit and not-for profit entities on transaction and general corporate matters.
• Represents healthcare businesses in negotiation of software license agreements.
• Represents privately held businesses in a wide range of industries including manufacturing of specialty equipment, distribution of automobiles and automobile parts, and the distribution of organic dairy products.
